The Firm's Real Property & Construction Practice Group represents a diverse group of real estate owners, developers, investors, landlords, tenants, managers, and lenders. We provide legal services and advice relating to all aspects of real estate, with a concentration in entrepreneurial development and construction activities. Our clients are involved in the full spectrum of real property transactions from the very small to the very large.

We represent developers, owners, and investors in planning, negotiating and implementing transactions that involve purchasing, selling, developing, leasing, and constructing all types of projects. Through years of experience, the firm's real property matters attorneys have developed a proficiency in handling a wide variety of sophisticated real estate matters, including acquisition, disposition, zoning and other governmental approvals, site and easement acquisitions, reciprocal operating agreements, leasing arrangements, project financing, condominium and homeowners association documentation, design and construction contracts, and resolution of real estate disputes. The Firm also represents both tenants and landlords in leasing residential, as well as, commercial shopping centers, offices, warehouses, and flex space.

The Real Property Practice Construction Group is experienced in all aspects of project financing, including acquisition, development, construction, and permanent loans (both public and private). We advise both borrowers and lenders in the origination and closing of real property and mixed collateral loans, as well as workout of loans on troubled projects. If compromise fails, we are experienced in foreclosure and bankruptcy proceedings. We are also experienced in real property related tax matters, from property reassessment to agricultural preserve treatment, as well as negotiation of tax increment as inducements for industrial development and urban redevelopment.

Private Development
We represent buyers, sellers and developers in all types of purchase and sale transactions from large residential, commercial or industrial projects to individual home purchases and sales. We are experienced in reviewing and resolving title issues for our clients. We also have experience in tax-free exchanges, including dealing with multiple properties, deferred exchanges, and escrowed transactions. We work closely with developers, engineers, architects and planners to obtain municipal zoning and land use entitlements for residential, commercial, industrial, office and mixed-use developments. Our real property lawyers have experience in drafting condominium documents and assisting in related matters such as association meetings and collection of assessments.

Real Estate Financing
Our attorneys represent lenders and borrowers in preparing and reviewing loan documents for financing of all types of commercial and residential real estate projects, including bank financing through mortgages and construction loans and seller financing through land contracts and purchase money mortgages.

Leasing
We have significant experience in drafting and negotiating office, industrial, shopping center, commercial and residential leases for both landlords and tenants.

Foreclosures, Workouts and Real Estate Litigation

We represent both lenders and borrowers in mortgage foreclosure. Our experience in this area allows us to initiate creative solutions for distressed real estate projects on behalf of both lenders and borrowers. We have experience in a wide range of real estate dispute resolution processes such as arbitration, mediation and litigation, including disputes between sellers and purchasers, boundary disputes, quiet title actions, adverse possession claims and riparian rights issues.

Environmental Issues
While we are not expert's in environmental law, we do understand the implications of environmental issues significantly affect real property transactions. We are experienced in dealing with expert environmental consultants and the California Department of Health Services in remediation of environmental contamination.

Construction
The increasing complexity of the building process has intensified the need for effective construction representation. Our construction attorneys know all aspects of the construction process as well as how to handle disputes among participants. We represent owners, architects and engineers, general contractors, construction managers and specialty contractors/subcontractors and we can handle any size project.

We also have extensive experience in the various steps involved in the construction process. For example, we assist in the selection and implementation of project delivery methods (such as traditional lump sum and cost plus contracts, design/build, construction management and fast-track). We also assist with the formation and negotiation of contracts, project financing and bonding, claims for defective work, delay claims, lien claims, equitable adjustments and foreclosure proceedings.

Our experience extends to a wide variety of legal areas that are needed by clients, including surety claims, issues involving employees and independent contractors, real estate brokers, zoning and governmental matters, debtor-creditor issues and matters related to parties who are bankrupt or insolvent.

We have assisted many of our clients in the resolution of construction related disputes. The resolution process may involve litigation in the federal and state courts, arbitration, mediation and various types of proceedings before administrative agencies and boards. We have participated extensively in construction arbitration proceedings and encourage the use of alternative dispute resolution techniques when they are strategically appropriate to our clients' interests and may result in a more timely and economical disposition of controversies.
